Advisory and Registration Roadmap
We review the proposed business model and advise on the appropriate business form, ownership structure, business lines, market access conditions, and applicable investment and enterprise registration requirements.
Preparation and Implementation of Registration Procedures
We support Vietnamese businesses and foreign investors in determining the appropriate registration structure, preparing the required documents and carrying out the procedures for obtaining:
- Investment Registration Certificate (IRC) and Enterprise Registration Certificate (ERC), where the establishment of a foreign-invested enterprise in Vietnam requires an IRC; or
- Enterprise Registration Certificate (ERC), for the establishment of a Vietnamese enterprise.
We monitor the application process and assist clients in responding to requests for additional information or documents and addressing procedural matters that may arise within the agreed scope of services.

What Do You Need to Prepare?
Clients will generally need to provide information relating to:
- The proposed business name and business lines;
- The registered office address;
- The owner/member(s)/shareholder(s) and legal representative;
- Charter capital and capital contribution structure;
- Beneficial owner(s); and
- Elevant legal documents of the parties involved.
For foreign-invested enterprises, additional documents may be required, including documents evidencing financial capacity, legal documents relating to the proposed location, information on the investment project, and documents issued overseas that may be subject to consular legalization requirements.

After Establishment
Having an Enterprise Registration Certificate (ERC) or an Investment Registration Certificate (IRC) does not necessarily mean that a company can immediately commence all of its intended business activities. Certain business lines may require the company to satisfy additional business conditions or obtain sector-specific licenses before commencing operations.
We assist companies in reviewing these requirements from the outset, enabling them to plan proactively and avoid situations where the company has been established but is not yet able to commence its planned business activities.
